Alicia Morales-Fernandez

Alicia M. Morales-Fernandez has a broad knowledge of real estate acquisitions and dispositions, commercial and residential development, commercial leasing, financing, and general corporate work. She has worked extensively on complex real estate transactions, representing national and local developers and domestic and foreign investors in the acquisition, ownership, and operation of, retail centers, office buildings, residential and mixed-use condominiums, hotels and vacant land and has extensive experience with real estate joint venture and equity investment agreements. She has worked on institutional and private equity financing and private loan acquisitions. She has coordinated, supervised and closed acquisitions of large land assemblages and coordinated and closed on numerous multi-state transactions. Alicia typically handles a project from the ground up and has extensive experience in the negotiation of land development documentation, including co-tenancy agreements, easements, restrictive covenant documents, developer agreements, construction contracts, and related documentation, as well as extensive experience in complex title and survey matters.

Significant Representation

  • Representation of owner and operator in the development and construction of a premier adult living facility in Miami-Dade County pursuant to a public/private venture, including construction financing, bond financing, long term ground lease, sublease, community development district, ground level retail use and tri-party agreements.
  • Representation of owner in the sale of a private golf course to Miami-Dade County.
  • Representation of owner of large scale development of regional impact in the planning and development of a residential housing community and golf course on the west coast of Florida.
  • Representation of auto dealers in multiple acquisitions and fleet financings for auto dealership properties throughout South Florida.
  • Representation of the City of Coral Gables in the sale of properties and leasing of ground floor retail space in municipal parking garages.
  • Representation of Lowe’s Home Improvements in the purchase, development, redevelopment and construction of millions of square feet of shopping center space throughout the State of Florida
  • Representation of owner in the acquisition and leasing of various medical office buildings throughout Florida.
  • Lead counsel on real estate end of acquisition and merger of business valued in excess of $100,000,000, funded with private equity through senior and subordinated debt financing and involving a multi-state portfolio.
  • Representation of large Midwest asset management and loan servicing firm in acquisition of REO distressed loans throughout Florida.
